Auction Site User Agreement- Terms and Conditions

This is a legal agreement between you, the user or buyer, and The SITE OWNER or CIA LLC.

Corporate Internet Auctions LLC, (hereinafter referred to as (CIA LLC)at its sole discretion, may ban from further use any buyer or seller which CIA LLC believes to have in any way misrepresented itself or any item selling, failed to abide by the terms, or conducted any improper auction behavior as determined solely by CIA LLC. Any buyer who improperly fails to carry thru with a purchase will be banned from any further use and may be subject to additional legal actions.

Payment Policies: CIA LLC accepts different payment methods for each auction. Please read the terms and conditions for each auction you participate in. You are required to accept the terms for each auction before you can bid.

4 Types of Payment Options for an auction include:

1. No credit cards accepted auction: Payments are due within 48 hours after auction's end via: Cash, corporate check with bank guarantee or wired into CIA LLC account.

2. Credit Card only internet auction. You must register with a credit card that will be authorized for $100.00 BEFORE you are allowed to bid. After the auction ends, your card is charged for the amount of your bid(s) PLUS buyer's premium and respective state sates tax. Your paid invoice is sent to you via email and you must present this invoice to pick up your items won at auction location. Visa & MasterCard cards are accepted.

3. Credit card register auction where you may pay your for winning bids via cash, wire transfer, corporate check with Bank guarantee letter or credit card swiped on site before you can pick up your items. Visa & MasterCard cards are accepted.

4. Credit Card only internet auction and pay on-site with registered credit card. You must register with a credit card that will be authorized for $100.00 BEFORE you are allowed to bid. After the auction ends, your invoice is created for the amount of your bid(s) PLUS buyer's premium and respective state sates tax. Your invoice is sent to you via email and you must present this invoice at the auction location and present your credit card to pay your invoice before you can pick up your items won at auction. Visa & MasterCard cards are accepted.

NON REFUNDABLE DEPOSIT: CIA LLC RESERVES THE RIGHT to charge your credit card 100% of your purchase or your total purchase(s) immediately following the end of the removal period IF buyer fails to pay for and remove purchases. Note that the purchase price is the sum of the bid price, buyers premium, buyer's fee, and sales tax if applicable. Visa & MasterCard cards are accepted.

ALL ITEMS sell subject to CIA LLC confirmation & discretion.

Buyer's Premium Notice: A buyer's premium will be added to all purchases. This buyer's premium varies, depending on the auction. Most Internet auctions will have a 15% buyer's premium. The actual buyer's premium in effect will be noted on the additional information page as well as specific auction terms and conditions. You will see this additional information page when you click on the button to view the items that will be selling. Visa & MasterCard cards are accepted.

Removal and Failure to Remove. All purchases must be removed from the auction site without damaging any property and within the time period published or posted on internet site. All costs, responsibility and risk of such removal shall be borne by buyer and, in every case, buyer will use prudence and care in such removal. If for any reason buyers fail to remove any of buyer purchases within the time specified, CAC LLC shall have the right but not the obligation, in its sole discretion, to recall, discard or remove and store said purchase at buyers sole risk and expense (storage costs at $10.00 per day per item - other costs additional), without waiving any rights that CAC LLC or seller may have against buyer. Storage charges will be the responsibility of the buyer (after removal period.)

Sales Tax: All bidders will be subject to the Respective State sales tax unless you provide our office with the documentation we require for exemption.

Seller Bidding: The SELLER or their agent RESERVE THE RIGHT TO BID on their own items in order to protect their investment.

Terms: All items sell AS IS WHERE IS with no warranty of any type expressed or implied as to the merchantability or fitness for any particular purpose of any goods offered in this sale. All sales are made on an AS IS - WHERE IS basis with all faults. All buyers are urged to physically inspect the item during the inspection period. No bids can be withdrawn after the auction for any reason. BUYER agrees that these terms as well as all other terms set forth below, can be amended or revised only in writing, signed by the auctioneer. BUYER also agrees that any oral representation made by the auctioneer shall not modify these "AS IS - WHERE IS" terms. BUYER understands that any description given in the catalog or written on the equipment is not guaranteed, and BUYER will rely entirely on their own inspection. All information and descriptions contained in advertising this sale are believed correct, but no responsibility is assumed by Auction Co. for any errors or omissions.

Posted closing times and displays of CIA LLC's current time are approximate. CIA LLC reserves the right to close early or extend auctions at any time at its discretion. It is strongly recommended that bids be placed early to avoid losing out due to an ill-timed, last minute bid. All times are East Coast USA time. Dynamic bidding - The dynamic bid on this website is a feature that does NOT allow an item to sell at the end of the auction until there is 10 minutes of bidding inactivity. Example - An item is bid on at 7:51pm. An auction is scheduled to close at 8:00pm. When this bid is placed the ending time will automatically extend to 8:05pm. When another bid is place at 8:01 the auction will extend until 8:20pm. This will give bidder 19 minutes to place another bid. If no bids are placed this auction will conclude at 8:20pm. The key to your dynamic bidding feature is that the auction extends from the preset closing time in 10 minute intervals, NOT 10 minutes from when you placed your bid.

CIA LLC's Right to Terminate Purchase. If for any reason CIA LLC is unable to complete the sale of any purchase to buyer or provide such purchase free and clear of liens, even if the buyer was given notice that he is the high bidder and purchaser, Buyer agrees that the CIA LLC may terminate the purchase/agreement, in which case CIA LLC's only liability shall be the return of any monies actually paid by buyer.

Consent to Suit in MA. In the event of legal proceedings arising from this contract or from the auction in connection therewith, buyer consents to being subject to the personal jurisdiction of the courts of the State of Massachusetts. Buyer also agrees that venue shall be in Norfolk County, Massachusetts.

AGENCY: CIA LLC is acting only as an agent and is not responsible for the actions of the principals or sellers.

The BUYER expressly agrees to indemnify and save the CIA LLC and Seller harmless from and against all claims, losses, expenses, damage or liability, (including, but not limited to, attorney's fees), directly or indirectly caused by or resulting from an act, including the negligent acts or omissions of CIA LLC, or anyone acting in his/her behalf in connection with or arising out of auction, except that the BUYER shall not be responsible to CIA LLC for damages caused by or resulting from CIA LLC's sole negligence.

Do not bid unless you agree to all of the terms above. By bidding you are acknowledging agreement with the terms above.

Additional GENERAL TERMS:

All persons desiring to bid must be registered prior to the auction and must have obtained a Bidder's Number.

CIA LLC reserves the right to add to or withdraw from the auction any items listed or not listed, to group individual lots into larger lots for sale, to subdivide lots into smaller lots forsake, or to sell all lots in bulk when it is in the best interest of the Seller. Changes to or additional terms and conditions, additions or deletions may be announced by the Auctioneer before ordering the course of the auction.

CIA LLC neither conducts an appraisal nor has any association with appraisers for our auctions. CIA LLC has no control over the appraisal contract, and cannot warrant, stand behind or guarantee information contained in the appraisals.

All items are sold AS IS, WHERE IS with no warranty, expressed or implied. The Auctioneer shall not be responsible for the correct description, authenticity, genuineness, or defect in any lot and makes no warranty in connection therewith. No allowance, refund or set aside will be made on account of any incorrectness, error in cataloging, imperfection, defect or damage. Any descriptions or representations are for identification purposes only and are not to be construed as a warranty of any type. It is the responsibility of the Buyer to have inspected thoroughly the merchandise and to have satisfied himself or herself as to its condition and value and to bid based upon that judgment solely.

Security for purchases is the responsibility of the Buyer and begins immediately upon the start of the removal period. Removals are at the expense, liability and risk of the Buyer. CIA LLC shall not be responsible for goods not removed within the specified time period. CIA LLC shall not be responsible for non-delivery or for any other matter or thing to any purchaser of any lot, in any event.

CIA LLC is acting as Agent for the Seller and all representations made by CIA LLC are made on behalf of the Seller. CIA LLC is not responsible for the acts or representations of the Seller. Any action or recourse will be directed to the Seller and not to CIA LLC.

Seller shall retain full security interest in all merchandise until full and complete payment is made to Seller or CIA LLC. Shipping, handling, insurance, storage and security charges will be calculated and paid at the time of payment at the auction.

Merchandise not paid for and removed within the specified time period may be resold without notice.

All persons attending preparation, inspection, sale or removal of merchandise assume all risks whatsoever of damage or loss to person and property and specifically release CIA LLC and Seller formal liability therefore. CIA LLC and Seller shall not be liable by reason of any defect in or condition of the merchandiser premises on which the sale is held.

All descriptions of items for sale contained herein or provided orally or in writing at the time of the auction are believed to be correct, but CIA LLC makes no representation or warranty, express or implied, as to the accuracy of any such description, and hereby specifically disclaims any such warranty.

To the extent that the bidder is an individual acting on behalf of a corporation registered as the bidder, the individual bidder shall be jointly and severally liable with the corporation for payment of the purchase price. The Buyer acknowledges and agrees that no "stop payment" order shall be issued or honored. The Buyer further agrees that a stop payment order or a check returned marked "insufficient funds" shall be considered prima-facie evidence of intent on the part of the buyer to defraud CIA LLC at the time of delivery of the check. The Buyer acknowledges and agrees that no "chargeback" order shall be issued or honored to or by buyer credit card provider company.

The Buyer agrees that the act of submitting a bid shall constitute acceptance of each and every term and condition contained herein and of any additional terms and conditions which may be posted at the auction or which may be announced by CIA LLC. The Buyer agrees that in any dispute between the Seller and the Buyer or between competing bidders arising in connection with any sale at the auction, CIA LLC shall have the right but not the obligation to settle such dispute, and the Buyer shall abide by the decision of CIA LLC, whose decision shall be final with respect to such matter. The Buyer further agrees to indemnify CIA LLC for all liabilities, damages, costs, and expenses including attorneys fees incurred in connection with any such dispute or in connection with any claim, litigation, controversy, dispute or proceeding arising from any purchase of an article by the Buyer or from any subsequent sale of such article to any third party.

Upon payment of any amount to Seller, CIA LLC or its assigns shall be subjugated to all of the Seller's rights of recovery. The Buyer agrees that any and all disputes arising from this auction will be resolved solely through binding arbitration in Norfolk County, Massachusetts.
